Independent company — BHZK subsidiary

Connect, transfer, pay, trade

Zantray Transfert is a legally independent company and a subsidiary of BHZK, created to build an international network for money transfer, payments, currency exchange and trade. The first corridor is United States ↔ Haiti; the rest of the network opens corridor by corridor, as authorisations and partners fall into place.

Who we are

A subsidiary, not a branch

Zantray Transfert has its own accounts, governance, contracts, employees and regulatory obligations. BHZK is its parent company and controlling shareholder; BACCA-BANK, in Camp-Perrin, is a separate banking and institutional partner.

This separation is not a formality: it is what makes compliance readable and customer funds traceable. BHZK’s funds are not Zantray Transfert’s, and customer funds belong to neither.

Our vision

Infrastructure, not a counter

Our vision is to become an international infrastructure connecting individuals, businesses, associations, institutions and trading partners through money transfer, payment and international trade services.

Security and compliance

Compliance is a core part of the company, designed before operations start — not bolted on afterwards.

KYC and monitoring

Customer identification at onboarding, beneficiary identification, transaction monitoring, sanctions screening and alert management.

Agent network oversight

Agent selection, training, control and supervision. For an MSB subject to registration, FinCEN requires an agent list carrying the required information.

Authorisations before operations

In the United States, international money transmission falls under Florida’s Money Transmitter licence, and a money transmitter is generally an MSB subject to FinCEN and BSA rules. Each regulated activity opens once the applicable authorisations are obtained.

The network, region by region

North America, the Caribbean, South America, Europe, Africa and Asia: six regions, opened step by step as regulations and available partners allow. The network is made up of our own branches, independent agents, banking and correspondent partners, and payment operators.

Governance

Bodies first, names later

The final make-up of each body is set out in the articles of association and governance documents. The target structure, however, is already in place.

Supervisory body

Board of directors

Sets strategy, approves the budget, oversees management, approves major investments, controls risk and supervises compliance.

Executive body

General management

Day-to-day management, strategy execution, staff, partner relations, business development and operational supervision — supported by nine directorates.

How the company was designed

Zantray Transfert was created by BHZK through its Programme and Project. The first founding document sets the company name, the nature of the business, its corporate purpose and its relations with BHZK and BACCA-BANK.

A second document organises ownership, capital and governance: BHZK’s controlling stake, capital set once the full budget is known, segregation of funds, separate accounts, specialist committees and decisions reserved to the parent company.

Development follows ten phases, from design to Asian expansion, by way of the United States – Haiti pilot corridor. No phase is a commitment to a timetable: each one opens when the previous one has delivered.
